Constitution

1.   Name

The name of the organization shall be the University of Northern British Columbia Young New Democrats (or as abbreviated the “UNBC YND”)

2.   Purpose

2.1.          The purposes of the UNBC YND shall be:

1.1.a.  to promote the aims and objectives of the British Columbia New Democratic Party, British Columbia Young New Democrats, New Democratic Party of Canada and the New Democratic Youth of Canada at the UNBC campus; to

1.1.b.  encourage youth participation in the NDP and politics in general; and

1.1.c.  to provide a forum for the New Democratic youth to express their views and concerns.

3.   Affiliation

3.1.          The UNBC YND shall exist under a charter, whenever possible, issued by the BC Young New Democrats, the New Democratic Youth of Canada, or otherwise permitted by the NDP.

3.2.          The UNBC YND shall not promote or support, any candidate, or representative of any political party other than the NDP, except as otherwise permitted by the NDP.

3.3.          Nothing in the constitution shall conflict with the constitution of the New Democratic Party of Canada, or the New Democratic Party of British Columbia.

Bylaws

1.   Membership

1.1.          Membership of the UNBC YND shall be open to

1.1.1.          all members of the University of Northern British Columbia and community; or

1.1.2.          any student or youth who wishes to participate in the UNBC YND,

1.1.3.          those over 25 years of age can join the UNBC YND but cannot join the BCYND as per BCYND rules.

1.2.          All members must abide by the Constitution and Bylaws to remain in good standing with the UNBC YND.

1.3.          Members of the UNBC YND who are not registered students at the University of Northern British Columbia must pay a $2 membership fee. This fee may be waived at the discretion of the executive committee.

1.4.          Only undergraduate student of UNBC who have registered on a membership list of the UNBC YND are eligible to hold voting privileges and executive positions in the organization. Executive members of any other political party or political club besides the BCNDP and the NDP of Canada shall not be allowed to hold executive positions in the UNBC YND. This provision is unalterable.

1.5.          Membership of the UNBC YND for the purpose of voting constitutes a member of the UNBC YND membership list as maintained by the Secretary or executive.

2.   Powers, Duties, and Obligations of Members

The powers, duties, and obligations of members of the UNBC YND shall be as provided in these Bylaws or in regulations enacted by the Executive Committee.

3.   Powers, Duties, and Obligations of Executive Officers

3.1.          The two Presidential Co-chairs shall:

1.1.a.  represent the UNBC YND on formal occasions;

1.1.b.  undertake all other duties usually falling to the co-chairs (or president) of an organization; and

1.1.c.  be signing officers on behalf of the UNBC YND.

3.2.          The Vice-President:

1.1.a.  replace one of the Presidential co-chairs should one be absent;

1.1.b.  has signing authority should the Presidential co-chairs agree upon the individual circumstance;

3.3.          The Secretary shall:

1.1.c.  maintain UNBC YND and Executive Committee membership lists;

1.1.d.  take and keep minutes of UNBC General and Executive Committee meetings;

1.1.e.  notify the membership of all UNBC YND meetings; and

1.1.f.    communicate other notices to the membership as specified by the Bylaws or by regulation

1.1.g.  this position can be fulfilled by other members of the executive.

3.4.          The Treasurer shall:

a.          keep a careful account and be responsible for all monies received and disbursed by or on behalf of the UNBC YND;

b.          the Treasurer shall not disburse funds except as provided for in this constitution or by regulation;

c.          render, upon request of the Executive Committee and within fourteen calendar days, a detailed written report on the UNBC YND financial affairs;

d.          prepare a detailed written report on the UNBC YND’s financial affairs for consideration at the AGM;

e.          co-ordinate the preparation of the budget of the UNBC YND; and

f.            be a signing officer on behalf of the UNBC YND.

3.5.          There shall be no more than one male or female Presidential Co-Chair elected to Executive Committee.

3.6.          In the event that a member of the Executive is not present at two consecutive meetings without sending regrets to either one of the Co-Chairs or the Secretary, his or her position within the Executive is subject to an Executive Committee vote whether to declare said position vacated.

4.   Powers, Duties, and Obligations of the Executive Committee

4.1.          The Executive Committee shall be the only recognized medium of communication, in between general meetings, between the UNBC YND and:

1.1.a.  its members;

1.1.b.  the NDP; and

1.1.c.  the Northern Undergraduate Student Society, University of Northern British Columbia, and the public.

4.2.          All notices for any meeting of the UNBC YND Executive Committee shall clearly state the date, time, location, and proposed agenda.

4.3.          Notice of Executive Committee Meetings, and its subcommittees shall be given at least seven calendar days prior to the date on which the meeting is to be held.

4.4.          Accidental omission in giving notice of the Executive Committee Meeting, or non-receipt of the notice by the members of the Executive, shall not constitute a violation of the UNBC YND Bylaws, nor void proceedings of the meeting.

4.5.          The Executive Committee shall, subject to the provision of these Bylaws, exercise full control over all activities of the UNBC YND in between general meetings.

4.6.          The Executive Committee may delegate such powers, duties, and obligations, as it may deem expedient for the practicable conduct of the affairs of the UNBC YND.

4.7.          The Executive Committee shall, subject to the provisions of these Bylaws:

1.1.a.  have the power to make any regulations it may deem necessary or advisable with respect to said Bylaws, and to amend, suspend, or repeal these regulations; and

1.1.b.  have power to make rulings in respects to such regulations, including any regulation governing to conduct of its members, and any such ruling made by the Executive Committee shall be final any binding.

4.8.          The Co-Chairs shall convene a meeting of the Executive Committee at least once per month provided no general meetings have been held for that one month span, expect during the summer semester.

4.9.          In the event a position on the Executive Committee becomes vacant, the Executive Committee may:

1.1.a.  by two-thirds majority vote appoint an acting member to assume the powers, and fulfil the duties and obligations of the position so vacated; or

1.1.b.  call a special general meeting of the UNBC YND to elect a general member to the vacated Executive Committee position.

1.1.c.  Non-elected members of the Executive Committee shall serve only until the subsequent special general meeting at which a permanent replacement is elected.[1]

4.10.       Quorum for a meeting of the Executive Committee shall be a majority of the seats filled, including at least one  Presidential Co-Chair.

4.11.       Robert’s Rules of Order shall govern the conduct of all meetings of the Executive Committee and its subcommittees.

4.12.       No votes by proxy shall be allowed.

5.   General Meetings

5.1.          General Meetings can be held in place of Executive Committee meetings, provided that quorum is met once per month.

5.2.          General Meetings may be held at any time by resolution of the Executive Committee.

5.3.          All notices for any meeting of the UNBC YND shall clearly state the date, time, location, and proposed agenda. Notice of:

1.1.a.  the Annual General Meeting shall be given at least ten calendar days prior to the date on which the meeting is to be held;

1.1.b.  Special General Meetings shall be given at least seven calendar days prior to the date on which the meeting is to be held; and

1.1.c.  General Meetings shall be given at least seven calendar days prior to the date on which the meeting is to be held.

5.4.          Accidental omission in giving notice of the Annual General Meeting, a Special General Meeting, or a General Meeting, or non-receipt of the notice by the members of the Club, shall not constitute a violation of the UNBC YND’s Bylaws, nor void proceedings of the meeting.

5.5.          Annual General Meetings

5.5.1.          The Annual General meeting of the Club shall be held in September of each year.

5.5.2.          In addition to any other business proposed by the Executive Committee or members of the UNBC YND the following business shall be conducted at the Annual General Meeting:

a.          appointing a temporary Chair for the Annual General meeting;

b.          receiving and filing the minutes of the previous year’s Annual General Meeting and any Special General meetings held since the last Annual General Meeting;

c.          receiving the Annual Report of the Executive Committee;

d.          receiving the Treasurer’s report; and

e.          electing members of the executive committee.

5.6.          Special General Meetings

5.6.1.          Special General Meetings may be convened at any time by resolution of the Executive Committee.

5.6.2.          The Co-Chairs shall convene a Special General Meeting within twenty-one calendar days of the receipt of a petition signed by six or more members of the UNBC YND.

5.6.3.          The Co-Chairs shall convene a Special General Meeting within twenty-one calendar days after a vote by the Executive Committee requesting such a meeting.

5.7.          Each member of the UNBC YND shall be entitled to vote, as per section 1.4 of this constitution, at the Annual General Meeting, a Special General Meeting, or a General Meeting.  In order to exercise his or her vote the member shall be present at the meeting when the vote is conducted, and no votes by proxy shall be allowed.

5.8.          Quorum of Annual General Meetings, Special General Meetings, or General Meetings shall be six members.

5.9.          Any decision passed by an Annual, Special, and General Meeting supersedes a decision of the Executive Committee, subject to provision of these Bylaws.

5.10.       Except as otherwise provided in these Bylaws, Robert’s Rules of Order shall govern the conduct of the Annual General Meeting, any Special General Meetings, or any General Meetings.

6.   Amendments

6.1.          The Constitution and By Laws may be amended by special resolution.

6.2.          Notice of a proposed amendment however initiated shall be given in accordance with Bylaw 5.3 providing for notice of the Annual General Meeting and any Special General Meeting, and shall include the actual wording of the proposed amendment.

6.3.          Amendments may be initiated by:

1.1.a.  the Executive Committee;

1.1.b.  any member of the Club if seven days notice of the actual wording of the proposed amendment is given in writing to the Executive Committee prior to the Annual General Meeting; or

1.1.c.  any member of the Club requesting a Special General Meeting for the consideration of a proposed amendment, provided that the proposed amendment shall be accompanied by a petition setting out the text of the proposed amendment and requesting a Special General Meeting for its consideration and accompanied by the signatures of no less than six members of the Club.

7.   Lifetime Members

7.1.          The following people are lifetime members of the University of Northern British Columbia Young New Democrats, and are have all rights and privileges afforded to the general membership:

8.   Dissolution

8.1.          In the event of the club’s dissolution, all of the UNBC Young New Democrats’ assets become property of the Northern Undergraduate Student Society unless materials used by the UNBC YND are in fact personal property of any executive member.
